FINRA Arbitrator.Bradford J. Lam serves as special counsel in the firm's corporate and business law group.With over 25 years of experience as a securities and corporate attorney, Lam represents both the uninitiated and the experienced entrepreneur, emerging business, private and public company, as well as the investor and venture capitalist in capital raising and capital market transactions.He has extensive experience in preparing private offering documents, has prepared registration statements for public offerings, and advised public and private companies extensively regarding periodic reporting and public information.

As to corporate governance, Lam has advised management and boards as well as dissenters and outsiders in a variety of contexts, including hostile proxy solicitations, transitions, successions, special investigations and reports, and other events.Lam has served as “first chair” attorney in corporate governance litigation and acquired temporary restraining orders and preliminary injunctions where necessary.

Lam also has an extensive securities and commercial litigation background.He served as an enforcement attorney to first, the California Department of Corporations in its Los Angeles headquarter office, and later to the United States Securities and Exchange Commission (“SEC”) in its Philadelphia Regional Office.With California, Lam appeared in Superior Court and in administrative hearings on behalf of the Department and its Commissioner.With the SEC, Lam appeared primarily in federal district court and conducted investigations in insider trading matters and other law violations.With both agencies, Lam was asked to obtain emergency relief through restraining orders and injunctions.
