ABOUT Ms. Stephanie A. Kroger

With more than 25 years of experience, Stephanie Kroger navigates clients through the rapidly changing fields of electric power, renewable energy and natural gas. She represents lenders, project developers, retail electric providers, commodity trading firms, power marketers, utilities, end use consumers and other entities before the Texas Public Utility Commission, the Electric Reliability Council of Texas (ERCOT) and the Texas Reliability Entity (TRE).

Stephanie’s broad experience, including being deeply involved in the development of energy legislation in Texas, makes her uniquely qualified to represent clients on a wide range of electricity-related regulatory and commercial issues.

She frequently provides comprehensive regulatory and commercial support in myriad energy transactional matters, particularly mergers and acquisitions, joint ventures, public and private securities offerings, renewable energy projects, and construction agreements.

Having represented clients in their project financing of more than 20 wind generation projects in Texas, Stephanie regularly negotiates power purchase agreements, energy management agreements, commodity trading agreements and renewable energy certificate (REC) purchases, and counsels on the development, construction and sale of cogeneration and other power generation projects. She also has extensive experience advising clients on regulatory and contractual matters associated with retail electricity purchases, including competitive bidding and energy procurement, behind-the-meter generation development, and retail energy supply agreements.

Experience

Represented a joint venture of Macquarie’s Green Investment Group and Core Solar in solar power purchase agreement with Occidental Petroleum
Provided regulatory guidance and obtained approvals, and drafted and negotiated key agreements for the developer of wind and solar generation projects with renewable energy output totaling 65 MW.
Represented the City of Houston in the selection and negotiation of a 20-year, fixed-price agreement for the purchase of 50 MW of electricity from a solar project for consumption by City facilities.
Served as Texas regulatory counsel for the purchaser of the 230-MW Mariah del Norte wind project in Parmer, Castro and Deaf Smith Counties.
Served as Texas regulatory counsel for lenders and tax equity investors in the financing of a 163-MW wind project in Deaf Smith County.
Served as Texas regulatory counsel for the developer in the development and financing of two phased wind projects in the Texas Panhandle totaling almost 350 MW.
Served as Texas regulatory counsel for the developer in the development and financing of the 200-MW Longhorn Wind project located in the Texas Panhandle.
Served as Texas regulatory counsel for the developer of Pattern Panhandle Wind and Pattern Panhandle Wind II projects in Carson County and obtained Texas PUC approval of tax equity transactions for both projects.
Represented a large power generation company in the sale and acquisition of generation assets in ERCOT.
Represents the Texas Association of School Boards, Inc., a client since 1999, in matters related to the creation and management of its electricity aggregation program for local governmental entities.
Advises several large commercial property management companies on their electricity and natural gas procurement across the US, including the implementation of energy storage programs.
Serves as counsel for a large oil and gas production company with significant assets in Texas, assisting with electricity procurement, facility interconnection services, and generation and transmission development and ownership.
Advises a large food service distributor on electricity procurement and participation in demand response programs across the US.
