Randall A. Mackey graduated magna cum laude and Phi Beta Kappa from the University of Utah in 1968, with a Bachelor of Science degree in Economics. He then earned a Masters of Business Administration degree from the Harvard Business School in 1970. Mr. Mackey received his Juris Doctor degree from Columbia Law School in 1975. In 1977, he received a Bachelor of Civil Law degree (a graduate law degree equivalent to an American LL.M. degree) from Oxford University in England.
Prior to commencement of his legal education, Mr. Mackey served as a Legislative Assistant to Utah Congressman Sherman P. Lloyd. Prior to graduation from law school, he also worked as a Summer Associate with the law firm of Milbank, Tweed, Hadley & McCloy in New York City and Van Cott Bagley Cornwall & McCarthy in Salt Lake City.
After receiving his two law degrees, Mr. Mackey joined the law firm of Hogan & Hartson (now Hogan Lovells) in Washington, D.C. where he practiced extensively in the areas of corporate and securities law and administrative law. In 1979, he returned to Utah and joined the Salt Lake City law firm of Fabian & Clendenin. He was a shareholder, a vice president, and a director of that firm prior to joining the predecessor of Mackey Price & Mecham in 1989. Mr. Mackey was with Mackey Price & Mecham until April 2017 when he joined the newly formed law firm of Mackey Price Law. Mr. Mackey’s principal areas of practice include corporate and securities law, and banking law. Mr. Mackey also served from 1981 to 1988 as an Adjunct Professor at the University of Utah, teaching courses in Constitutional Law and International Law.
During his legal career, Mr. Mackey has had extensive experience in corporate and securities matters, including representing clients in a substantial number of mergers and acquisitions and other complex business transactions. Mr. Mackey has also had extensive experience in public offerings, secondary offerings, private placements of equity and debt securities, business reorganizations, recapitalizations, sales and divestitures, securities law compliance, shareholder matters, proxy contests, and tender offers.
Mr. Mackey also advises clients on insider trading and Section 16 liability and other specialized securities law matters, including the establishment of company insider trading policies and Section 16 compliance programs.
In addition, Mr. Mackey assists and advises clients in all types of general corporate, limited liability company, and other business entities issues and prepares legal documents for clients’ business operations, including organizational documents, non-disclosure and non-competition agreements, technology license and transfer agreements, marketing and distribution agreements, equipment and service agreements, buy-sell and shareholder agreements, employment and consulting agreements, employee compensation plans, and stock option and other incentive plans.
Moreover, Mr. Mackey has had significant experience in representing clients in legal matters involving the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the Depository Trust Company (DTC), and the Utah Division of Securities. Mr. Mackey has additionally had significant experience in corporate law, limited liability company law, and commercial law.
Mr. Mackey has been active in community affairs. He has previously served as Chairman of the Board of Trustees of Salt Lake Community College, a Board member of the Utah State Board of Education, a regional director of the Harvard Alumni Association in Cambridge, Massachusetts, a Vice President of the Columbia Law School Association in New York City, and a director of the Salt Lake Education Foundation. Mr. Mackey has also served as a trustee of Ballet West, the Utah Opera Company, and the Gina Bachauer International Piano Foundation and a director of the Utah Arts Counsel.
Mr. Mackey additionally served on the Utah National Steering Committee in 1992 and 1988 of President George Bush’s Campaign Committee, as Chairman of the Higher Education Committee for Governor Jon Huntsman’s Campaign Committee in 2004, a member of Governor Huntsman’s Transition Committee from 2004 to 2005, a member of the Steering Committee of Governor Michael Leavitt’s Campaign Committee in 1992, and a member of the Executive Committee of Governor Leavitt’s Transition Committee from 1992 to 1993.
Mr. Mackey is a member of the Utah State Bar and the District of Columbia Bar and served on the Utah State Bar Securities Advisory Committee. He is also a member of the Alta Club. In 2013, Mr. Mackey was the recipient of the 2nd Annual Christine M. Durham Public Service Award by Utah Valley University. In 2014, Mr. Mackey was the recipient of the Hiram S. Hunn Memorial Schools and Scholarships Award by Harvard University.
