A seasoned corporate transactional attorney with more than 20 years of experience, Stacey Kern counsels multinational corporations, financial sponsors, portfolio companies and public and private entities in a variety of complex domestic and global business transactions.
In particular, Stacey has extensive experience representing clients in mergers and acquisitions, complex restructurings, private equity transactions, joint ventures, divestitures and leveraged buyouts.
Advising clients across a broad range of industries, including manufacturing, technology, pharmaceuticals and energy, Stacey also regularly counsels on securities regulations and corporate governance matters.
Stacey serves as the US Lead for African initiatives.

Represented Fairfield Residential in its Chapter 11 restructuring, including a new money investment from Brookfield Asset Management.
Represented Vista Equity Partners in its sale of legal information services portfolio company Mitratech to TA Associates.
Represented Pulte Capital in its sale of Southern Air & Heat, an HVAC company, to M South Capital.
Represented PKN Orlen, a Polish oil refiner and petrol retailer, in its acquisition via tender offer of all of the equity of Nasdaq-listed FX Energy for $125M.
Advised consumer products conglomerate Jarden Corporation in its $1B acquisition of The Waddington Group from Olympus Partners.
Advised Abbott Laboratories in connection with the $5B divestiture of Abbott’s Established Pharmaceuticals Division to Mylan.
Advised MetPro Group, a privately-held Irish packaging company, in its sale to The Jordan Company, a US-based private equity fund.
Represented Monomoy Capital Partners in the acquisition of automotive parts manufacturer MPI from Revstone Industries.
Assisted a Leonard Green portfolio company, Authentic Brands Group, in various bolt-on acquisitions, including the acquisition of the Marilyn Monroe brand.
Worked with a Chicago-based family office on various angel investments in the entertainment industry.
Represented Madison Dearborn Partners in its take private acquisition, along with Michael Eisner's Tornante Group, of The Topps Company, a manufacturer of baseball cards and chewing gum.
Represented Contech LLC, an automotive parts manufacturer, in its Chapter 7 liquidation, including numerous 363 divestitures.
Represented TWA in connection with its Chapter 11 filing and Section 363 sale to American Airlines.
